Eric Tucker is a principal attorney in the Hospitality and Real Estate Law and Transactions Practice Groups at Offit Kurman. Eric has over 16-years of experience representing hotel developers and operators in all aspects of the hospitality industry.
Eric has represented over 300 clients in the purchase and sale of hotel properties, often serving as the lead transaction counsel. He works with hotel clients at all levels – from self-managed owner-operators to joint ventures and investor backed ownership groups that retain national management companies. Eric routinely handles the following matters for his hospitality and real estate clients:
- Negotiation of purchase and sale agreements for hotel properties and guiding clients through the closing of a purchase or sale transaction
- Structuring operating agreements to allow hotel developers to bring in limited partner investors for hotel projects
- Negotiation of joint venture agreements for hotel development projects
- Advising hotel owners on estate planning matters to preserve the transfer of wealth across generations
- 1031 Exchange transactions
- Counseling on operational issues, especially those not covered by insurance
- Negotiation and closing of construction loans for the development of new hospitality properties
- Review and negotiations of hotel management agreements and development agreements
- Negotiation and closing of refinance and acquisition loans
- Formation of entities for hotel transactions and preparation of related corporate documents
In addition to his work in the hospitality industry, Eric regularly represents shopping center owners. He handles the purchase and financing of their commercial properties, as well as negotiates commercial leases for tenants of those shopping centers. He has worked with these clients on leasing agreements, asset sales and mergers and acquisitions of competitor businesses. Eric also frequently represents tenants in shopping center lease negotiations.
