Offit Kurman’s M&A Practice Leads ACES, Inc. in Sale to Enlightenment Capital

October 29, 2018 | Tysons Corner, VA Dealmaking activity continues to heat up for Offit Kurman’s Mergers and Acquisitions (M&A) Practice Group, led by Offit Kurman Corporate Attorney Michael N. Mercurio with the recent sale of Analysis, Computing and Engineering Solutions, Incorporated (ACES) to Ian, Evan & Alexander (IEA) Corporation, a portfolio company of Enlightenment Capital.

For 13 years, ACES provided information technology, analysis, and engineering services to US government agencies. The company was founded by Jeb Pair, a veteran of the US Air Force. Since its founding, ACES grew to more than 90 employees working in Colorado, Maryland, Georgia, Ohio, Virginia, and Washington, DC. In addition, ACES’ employees have deployed to numerous locations overseas, including Afghanistan and Iraq, in support of US troops. One key differentiator of ACES has been its employee stock ownership plan (ESOP) structure.  The ESOP structure provided an added dynamic that the Offit Kurman team needed to coordinate.

IEA is a rapidly growing, full-service, turnkey government solutions company. The firm provides intelligence, public diplomacy, and IT strategy, technical, and analytical support services to a diverse set of federal customers.

Mr. Mercurio and his team of attorneys including Brent Salmons and Dan Hofherr worked closely with ACES’ stakeholders to develop transaction terms that maximized the benefits for the company and its owners. The sale of ACES follows a recent chain of successful transactions for the firm’s M&A Practice, whose motto is “We make deals happen®.”

In the past few years, Offit Kurman has represented numerous government contractors in mid-market M&A transactions, as well as buyers and sellers in various industries seeking to grow through strategic business transactions.

Prior to the close of the ACES deal, Mr. Mercurio and his M&A colleagues helped United Support Services (USS), LLC divest a joint venture.  These transactions follow close on the heels of VetsAmerica’s sale to Veteran Enterprise Solutions, Inc., and Active Physical Therapy Services’ acquisition of Rehabilitation Services of Greater Washington—also facilitated by Offit Kurman’s M&A attorneys.  Click here for the most notable M&A deals the team has executed.
