Offit Kurman Business Attorney Featured on Two M&A Panel Discussions
Tysons Corner, VA | October 3, 2017 Michael N. Mercurio, Chair of Offit Kurman’s Business Law and Transactions Practice Group, was a featured speaker at the Exit Planning Institute Capital Chapter’s September meeting. Mr. Mercurio joined Manan K. Shah, a Focus Investment Banking Managing Partner, and John Gambaccini, Partner at Womble Carlyle Sandridge & Rice LLP, for a presentation and discussion about letters of intent (LOIs) during the mergers and acquisitions (M&A) process.
Mr. Mercurio, Mr. Shah, and Mr. Gambaccini spoke to a community of DC metropolitan area business owners about the fundamentals of an LOI and its impact on the due diligence process and final purchase agreement in a business transaction. Key points included the timeline for drafting and negotiating an LOI, a legal run-through of the document, the difference between an LOI and an expression of interest (or indication of interest), and M&A “war stories.”
The EPI meeting came on the heels of similar speaking engagements for Mr. Mercurio, a sought-after advisor and pundit on business transactions.
