Offit Kurman Business Attorney Featured on Two M&A Panel Discussions
Tysons Corner, VA | October 3, 2017 Michael N. Mercurio, Chair of Offit Kurman’s Business Law and Transactions Practice Group, was a featured speaker at the Exit Planning Institute Capital Chapter’s September meeting. Mr. Mercurio joined Manan K. Shah, a Focus Investment Banking Managing Partner, and John Gambaccini, Partner at Womble Carlyle Sandridge & Rice LLP, for a presentation and discussion about letters of intent (LOIs) during the mergers and acquisitions (M&A) process.
Mr. Mercurio, Mr. Shah, and Mr. Gambaccini spoke to a community of DC metropolitan area business owners about the fundamentals of an LOI and its impact on the due diligence process and final purchase agreement in a business transaction. Key points included the timeline for drafting and negotiating an LOI, a legal run-through of the document, the difference between an LOI and an expression of interest (or indication of interest), and M&A “war stories.”
The EPI meeting came on the heels of similar speaking engagements for Mr. Mercurio, a sought-after advisor and pundit on business transactions. His recent appearances also coincide with the launch of a new video interview series on offitkurman.com, in which Mr. Mercurio speaks with extraordinary entrepreneurs and business owners who have reached the pinnacle of business achievement.
Mr. Mercurio was also a recent panelist at the HRLF HR Leadership Forum: The Role of HR in M&A where Mr. Mercurio and other panelists discussed employee retention, change management, communication, and cultural alignment when a company is transitioning through a merger or acquisition. Having represented hundreds of clients on both buy and sell-side M&A transactions, Mr. Mercurio is well versed in the lessons learned and mistakes made in mergers and acquisitions.
In his role as Chair of the Business Law and Transaction practice group, Mr. Mercurio serves as outside general counsel to clients on matters related to corporate and business law, commercial transactions, government contracting, healthcare, construction services, and real estate.
