Offit Kurman Attorneys Represent Reines RV in Sale to Marcus Lemonis’ Camping World
Reines RV Centers, a recreational vehicle dealership in Virginia, has been acquired by industry leader Camping World, in a deal announced last month. Offit Kurman business law and transactions attorneys Michael N. Mercurio and Brent Salmons represented Reines RV during the acquisition, which was brokered by SC&H Captial Director, Greg Hogan.
Camping World, a nationally recognized retailer headquartered in Illinois, become a publicly traded corporation in October 2016, through a $251 million IPO. As the world’s largest RV supplier, the company operates over 100 locations throughout the United States and is the title sponsor for several NASCAR series. Its chairman and CEO, Marcus Lemonis, who also runs Gander Mountain and Good Sam Enterprises, is an entrepreneur and investor perhaps best known for his starring role on the CNBC reality show The Profit.
By acquiring Reines RV, Camping World seeks to increase its footprint in Virginia and leverage the family business’s deep-rooted, decades-long connections to the regional market.
"It's an exciting time for us, as we expand in the Virginia market with the wonderful people of Reines RV joining the Camping World family," Lemonis said in a press release. "We are elated to provide customers with top notch, convenient SuperCenters, across the commonwealth that can fulfill all of their outdoor and RV needs, from thousands of accessories, to RV sales and service."
Offit Kurman’s attorneys worked closely with the two organizations to ensure the transaction mutually benefited Reines RV’s owners and Camping World’s shareholders. Mr. Mercurio, who also chairs Offit Kurman’s Business Law and Transactions Practice Group, said that—because it was an all-cash acquisition involving a public company—the deal called for a shrewd legal team with singular experience in M&A matters.
“When you’re negotiating with an organization like Camping World, the public nature of the company is the 800-pound gorilla in the room,” he said. “Fortunately, our team have the perfect blend of experience and business insight."
