Banking and Finance: Brian Rosenberg
Brian Rosenberg serves as Chair of the firm’s Banking and Finance practice group. Mr. Rosenberg primarily counsels clients with respect to real estate matters, including acquisitions, finance and development matters, and also assists financial institutions in connection with all aspects of commercial lending, with a particular focus on loan transactions secured by real property. In addition, Mr. Rosenberg serves as local Maryland counsel to lenders and real estate owners in multi-state transactions, and has extensive experience in preparing and negotiating attorney opinion letters in loan transactions. Financial Institutions Regulatory: Timothy Lynch
Timothy Lynch serves as Chair of the firm’s Financial Institutions Regulatory practice group. Mr. Lynch’s practice is focused on complex civil litigation matters as well as acting as outside general counsel to many owner managed businesses and entrepreneurs on a wide array of business issues. In addition, Mr. Lynch serves as a corporate advisor to senior level executives, physicians and professional athletes throughout the United States. Bankruptcy and Restructuring: Joseph Bellinger
Joseph Bellinger serves as Chair of the firm’s Bankruptcy and Restructuring practice group. In his capacity as an experienced bankruptcy lawyer, his practice encompasses a broad range of litigation in bankruptcy cases and insolvency matters. The clients he serves cover a broad range of groups, and include asset-based lenders, factors, equity funds, financial institutions holding secured and unsecured claims, indenture trustees, equipment lessors, landlords, manufacturers, taxing authorities, Chapter 7 and 11 trustees, state court receivers, turnaround professionals, and purchasers of distressed loans or assets. Mr. Bellinger has also served on the panel of Chapter 7 Bankruptcy Trustees for the District of Maryland since 1997. Insurance Recovery: Michael Conley
Michael Conley is an insurance litigation and recovery lawyer who serves as Chair of the firm’s Insurance Recovery practice group. His broad legal experience includes insurance litigation, insurance coverage litigation, labor and employment law, and general litigation. He represents policyholders, including closely held, publicly traded, nonprofit, and municipal entities, with claims against their insurance companies. His insurance coverage law experience includes handling coverage actions on behalf of insureds relating to bad faith claims, defense obligations, law and ordinance exclusions, breach of health insurance contract, crime coverage, employment liability coverage, and coverage for data loss and environmental liability. Landlord Representation: Todd Kelting
Todd Kelting serves as Chair of the firm’s Landlord Representation practice group. Mr. Kelting’s practice as a civil litigation attorney focuses primary on real estate law civil litigation issues such as landlord representation and property managers of residential and commercial real estate. This representation includes the drafting of leases, policy and procedure drafting for residential fair housing compliance and litigation. Business Litigation: John Raftery
John Raftery serves as Chair of the firm’s Business Litigation practice group. His practice focuses on real-estate litigation, contractual disputes, and representation of managers and owners of residential and commercial real estate. He negotiates and drafts management and vendor agreements, leases, tenant-workout agreements, and policies and procedures for residential fair-housing compliance. Mr. Raftery handles all types of real-estate disputes and litigation in venues ranging from small-claims courts to appellate courts — including federal courts — in all three jurisdictions. He also manages commercial and construction litigation, mold and pest-infestation claims, business torts, and defense of discrimination (Fair Housing Act and employment related) claims. Commercial Litigation: Don Foster
Don Foster serves as Chair of the firm’s Commercial Litigation practice group. He is an experienced litigator, having tried cases to verdict in federal and state courts throughout the country, but also serves as outside general counsel and advisor to small businesses in a variety of industries. His trial and alternative dispute resolution experience is varied and includes disputes involving title insurance, intellectual property, health care, franchising, corporate governance, law firm partnership and closely held businesses. John Scaldara serves as Chair of the firm’s Construction and Commercial Claims practice group. Business Law and Transactions: Michael Mercurio
Michael Mercurio serves as Chair of the firm’s Business Law and Transactions practice group. He serves as outside general counsel to clients on matters related to corporate and business law, commercial transactions, government contracting and real estate. As a strategic partner to firm clients, Mr. Mercurio regularly counsels entrepreneurial individuals and assorted entities on all aspects of business and commerce including formation and structure; ownership, management and control; financing and capital; expansion and acquisition; sale and transfer; and contraction and dissolution. He is well versed in the various issues and challenges companies of all sizes and industries face in the business life cycle including start-up, maturation and end stage considerations. A core specialty practice area for Mr. Mercurio is mergers and acquisitions, both from the sell side perspective and buy side perspective. Further, Mr. Mercurio specializes in ownership planning, helping business owners prepare and optimally transition their businesses to third parties, management or family. He also has significant experience representing clients in the government contracting arena, assisting them through growth and maturation issues as well as mergers and acquisition matters. Intellectual Property: Jonathan Wachs
Jonathan Wachs serves as Chair of the firm’s Intellectual Property practice group. Mr. Wachs provides strategic counseling and operational advice to clients in the areas of intellectual property, commercial transactions and outsourced legal departments. He works closely with clients to develop, register, analyze, enforce, and transfer intellectual property assets in a customized, cost-efficient, and highly effective manner. Additionally, he conducts intellectual property audits through which clients learn the nature and value of their intellectual property assets and the steps needed to protect such assets from misappropriation or dilution. As a business lawyer, he has successfully negotiated and completed several multimillion dollar business transactions and has served as general counsel to several small and midsize businesses and organizations in various industries and professions. He also manages a blog about intellectual property issues, Friday Factoids. Real Estate, Land Use, and Zoning: William Erskine
William Erskine serves as Chair of the firm’s Real Estate, Land Use, and Zoning practice group. He is both a business attorney and real estate attorney, whose practice is focused primarily on commercial litigation, construction litigation, real estate, zoning, and land use matters. Mr. Erskine has extensive experience representing clients in land use and zoning matters across Maryland, including subdivision and land development, re-zonings and legislative appeals. He also spent 12 years as a solo practitioner, handling commercial litigation work for businesses and individuals, as well as bankruptcy, criminal defense and domestic cases. Government Contracts: Edward Tolchin
Edward Tolchin serves as Chair of the firm’s Government Contracts practice group. As a government contracts attorney, Mr. Tolchin’s practice is focused on government contracting, business litigation, and technology matters. In government contracting issues, he represents prime and subcontractors in contract negotiation and formation matters and in disputes involving both government and commercial business issues. He has been involved in procurement cases before many of the federal and state boards of contract appeal, Government Accountability Office, Small Business Administration, United States Court of Federal Claims, Court of Appeals for the Federal Circuit and other federal and state courts across the United States. His business litigation practice involves large and small matters in federal and state courts and before numerous arbitration panels. Estate Planning and Administration: Allison Noll
Alison Noll serves as Chair of the firm’s Estate Planning and Administration practice group, overseeing the activities of Offit Kurman’s estates and trusts practitioners throughout eight office locations in the Mid-Atlantic region. Ms. Noll assists individuals, families, and small business owners with all of their estate planning needs. She prepares comprehensive estate plans, including all types of revocable and irrevocable trusts, each specifically tailored to her client’s individual needs. Her practice also includes both estate and trust administration. Additionally, she occasionally serves as executor and trustee on behalf of clients as well as representing executors, trustees and beneficiaries in fiduciary litigation matters. Ms. Noll also advises business owners, from formation and corporate governance to business succession planning including the purchase and sale of small to midsize businesses. In conjunction with her representation of businesses and individuals, she frequently counsels clients on real estate matters, her expertise having developed in conjunction with her background of handling residential real estate settlements and title issues. Family Law: Ronald Ogens
Ronald Ogens serves as Chair of the firm’s Family Law practice group. Mr. Ogens’ practice as family law attorney is focused on the negotiation, settlement, and litigation of family law matters in Maryland and the District of Columbia. He handles a variety of divorce matters, including separation and divorce, annulment, alimony and child support issues and analysis, child custody and visitation issues, and the identification, valuation, classification, and division of marital and non-marital property. He also provides preparation and analysis of separation and property settlement agreements and prenuptial agreements.
