Ms. Kleinman is a member of Offit Kurman’s Commercial Litigation practice. She also represents clients in commercial litigation and professional liability matters, specifically focusing on legal malpractice, accounting malpractice, and director and officer liability in federal and state court, including Pennsylvania, Delaware, and New Jersey; developing litigation strategy; conducting legal research; drafting briefs, pleadings, motions, discovery requests and responses, client letters and reports; preparing, taking and defending depositions; drafting mediation statements and attend mediation in federal and state courts; preparing for trial including developing trial strategy, drafting pre-trial motions, identifying trial exhibits, and preparing witnesses to testify.
Served as lead associate on the following notable cases:
- Obtained summary judgment on behalf of New York law firm and attorneys in multi-million-dollar wrongful-use-of-civil proceedings case arising out of underlying breach of fiduciary duty claims asserted by pharmaceutical company against its former
- Negotiated settlement of complex class action involving breach of fiduciary duty claims against directors and officers of a Kentucky corporation, arising out of two corporate transactions that plaintiffs claimed were a part of a scheme to leave shareholders with no choice but to approve the
- Achieved dismissal of multiple breach of fiduciary duty claims asserted against former directors and officers of home-medical-equipment
- Obtained dismissal of accounting liability claims in complex matter arising out of various mob- orchestrated business sales, wherein the attorney for the sold businesses claimed that he was subsequently sued and criminally prosecuted because of the accountant's alleged failures in providing auditing services related to the
Ms. Kleinman was an Assistant In-House Counsel and in that role she assisted In-House Counsel of a company involved in investment and management services and operating a chain of retail stores throughout the United States; assisted with organization of client files and caseload management of company-related litigation, including employee-related matters; observed real estate contract negotiations, and drafted and analyzed commercial leases.
She was also a student attorney at the Duquesne University Federal Practice Clinic. She represented clients in civil- rights litigation before the U.S. District Court for the Western District of Pennsylvania. Prepared for trial; drafted pleadings, briefs, and motions; participated in mediation; prepared pretrial statements and exhibits for trial; drafted jury instructions; conducted the direct examination of the defendant at trial.
Ms. Kleinman started as a summer Associate in a mid-size law firm predominantly in the corporate and litigation departments. Observed contract negotiations; analyzed merger and acquisition agreements; assisted in acquisition-related due diligence; researched legal issues and drafted memorandum in a civil and commercial litigation matter, including breach of fiduciary duty claims.
