Robert G. Frucht practices transactional-based corporate finance, securities and general business law.
Bob represents issuers, placement agents and other key participants in the capital markets in the private and public issuance, flotation and distribution of securities (debt, equity and hybrid) in the United States and overseas. Mr. Frucht has extensive securities expertise in offerings consummated under Regulations D and S of the Securities Act of 1933, as amended as well as registered public offerings.
Mr. Frucht also represents private equity sponsors, their portfolio companies and entrepreneurs/executives in various private equity matters ranging from fund formation to portfolio company acquisition and disposition and a multitude of transactions relating thereto.
Bob’s focus on hedge funds includes advice to sponsors on issues ranging from formation to compliance with the Investment Advisers Act of 1940 and relevant provisions of the Investment Company Act.
Mr. Frucht also has an active practice representing buyers and sellers of equity and assets in numerous mergers and acquisitions and joint- venture transactions, as well as lenders and borrowers in leveraged lending and other credit transactions (secured and unsecured).
While Bob has an active domestic practice, he regularly works with international clients and has, within the last few years, worked with clients based in Russia, Israel, India and Singapore.
Mr. Frucht has a BA from Cornell University with distinction in all subjects, and a JD from the University of Pennsylvania.
- Represented Israeli issuer in simultaneous Regulation S and Regulation D offering of securities in the U.S. and abroad;
- Represented Indian issuer in Regulation S offering of securities concurrently with initial public offering on multiple Indian securities exchanges;
- Represented entrepreneur in connection with sale of internet hosting business to private equity consortium; and
- Represented multiple real estate investors and financiers in various joint-venture transactions.
