William J. Thomas has over twenty years experience in structuring, drafting, negotiating and enforcing domestic and international finance transactions including corporate acquisition, working capital and real estate finance in a variety of industries, with a particular niche in Cross-Border transactions and Acquisition Financing. He helps domestic and foreign financial institutions structure acquisition and trade finance transactions while addressing U.S. and foreign tax concerns and European financial assistance laws. Mr. Thomas has extensive experience with real estate financing, including construction and development financing. He has considerable work-out and bankruptcy experience, including a unique niche in cash management workouts. Mr. Thomas has extensive Uniform Commercial Code experience in investigating, negotiating and resolving Uniform Commercial Code Articles 3, 4, 4a, 5, 8 and 9 disputes, as well as Federal Reserve Board Regulations E, J and CC claims and claims made under the National Automated Clearing House Association Operating Rules. He has considerable bank regulatory project experience, including Bank Secrecy Act, Patriot Act and Check 21 experience. He has also assisted financial institutions in the development of their standard commercial loan, cash management and letter of credit documentation.

Prior to joining Offit Kurman, Mr. Thomas was a principal in other law firms and a Senior Vice President and Deputy General Counsel of Allfirst Bank in Baltimore, Maryland.
